Five legal gaps that stall tech startups

Shareholders’ agreement, IP assignments, SaaS terms, privacy policy, AI use policy and more. Drafted by a lawyer for your product, not filled into a template. Tell us about your business on one call and we do the rest.

01

Selling on someone else's terms.

Copied from a competitor or written by AI? SaaS terms written for your product and pricing, ready before your next proposal.

02

Your co-founder deal is a handshake.

Nothing covers who gets what if someone leaves. A founders' or shareholders' agreement with vesting, leaver terms and decision rules.

03

You don't own all your code.

Founders and contractors built it before the company existed. IP assignments from each of them, so the company owns what it sells.

04

Due diligence is coming.

Investors will ask for your documents in the first week. Have an investor-ready set waiting. Scale adds an investor readiness review.

05

You added AI. Your privacy policy didn't change.

A privacy policy and AI use policy for Australian and UK law, including the 2026 changes in both countries.

Using AI or automated decisions? Your privacy policy may already be out of date, in Australia and the UK. In Australia, from 10 December 2026, new Privacy Act rules require businesses that use personal information in automated decisions to say so in their privacy policy. In the UK, Data (Use and Access) Act rules in force since 5 February 2026 require you to tell people when a decision is automated and let them challenge it. Every package includes a privacy policy that covers both.

Choose the stage you are at. Your fixed fee is confirmed in writing before you pay, and every document is drafted for your business, never a filled-in template.

Ready to go to market

“Eugénie is the reason we felt ready to sell. We needed the full commercial stack before we could go to market, customer terms, privacy, the data agreement, the subscription contract and she stayed in it with us until we were actually confident to put it in front of customers. Dedicated, sharp, and an A-player. If you are taking a company to market and you want counsel who treats that as her job, work with her.”

Frequently asked questions

Each package is one fixed fee, tailored to your business and confirmed in writing after your package call, before you sign or pay. No hourly billing and no surprise invoices. If you add or swap documents, that is quoted as a fixed fee too.

Lawyers who bill by the hour charge for every email and call, so you don’t know the total until the end. A template costs little, but it isn’t drafted for your business. Our packages sit in between: one fixed fee for the documents your business needs, confirmed in writing before you pay.

Usually a founders’ or shareholders’ agreement, IP assignments from founders and contractors, customer terms for your product, a privacy policy and website terms. If you use AI, add an AI use policy. If you sell to other businesses, add a data processing agreement. What you need depends on your stage, and we confirm it on your package call.

A founders’ agreement sets out how co-founders split equity and roles, and what happens if someone leaves. It’s often signed early, before outside investors. A shareholders’ agreement does that job once the company exists, and also covers how decisions are made and how shares are issued or sold, which investors will look for. We’ll tell you which fits on your call.

If you use personal information in automated decisions that could significantly affect people, yes. In Australia, from 10 December 2026, your privacy policy must say what personal information is used and what kinds of decisions are made. In the UK, Data (Use and Access) Act rules in force since 5 February 2026 require you to tell people when a decision is automated and let them challenge it.

Website terms cover people browsing your site. SaaS terms are your contract with paying customers: what they get, service levels, fees, limits on your liability, how their data is used and what happens when they leave. If you sell software, you need both.

Own your IP, sign your customers, be ready to raise. First drafts in 5 business days.
